These Terms of Service govern access to and use of DataQuilt, a software platform provided by DataQuilt, Inc. By using DataQuilt, creating an account, connecting third-party systems, or authorizing DataQuilt to access business data, you agree to these Terms.
1. About DataQuilt
DataQuilt is a business operations software platform that helps companies connect, organize, analyze, and automate data from internal and third-party business systems. DataQuilt may integrate with accounting, billing, inventory, equipment, project management, customer, and other operational systems, including QuickBooks Online.
DataQuilt is not affiliated with, endorsed by, or sponsored by Intuit Inc. or QuickBooks. QuickBooks and related marks are the property of Intuit Inc.
2. Customer Authorization
You are responsible for authorizing DataQuilt to access any third-party systems you connect, including QuickBooks Online. By connecting a third-party account, you represent that you have the authority to grant DataQuilt access to that account and its related data.
3. Use of the Platform
You agree to use DataQuilt only for lawful business purposes. You may not use the platform to violate laws, infringe rights, gain unauthorized access to systems, interfere with the platform, or misuse data from any connected system.
4. Customer Data
Customer data remains the property of the customer. DataQuilt may access, process, store, and display customer data only to provide, maintain, secure, improve, and support the DataQuilt platform and related services.
5. QuickBooks Online Data
If you connect QuickBooks Online to DataQuilt, DataQuilt may access business and accounting information authorized by you, which may include customers, vendors, invoices, bills, payments, accounts, reports, balances, and related financial records.
DataQuilt uses this data to provide software functionality such as dashboards, reporting, workflow automation, billing visibility, accounts receivable insights, operational analysis, and related business tools.
6. Security
DataQuilt uses reasonable administrative, technical, and organizational safeguards designed to protect customer data. However, no system can be guaranteed to be completely secure.
7. Account Responsibility
You are responsible for maintaining the confidentiality of your login credentials and for all activity under your account. You must notify DataQuilt promptly if you believe your account or connected systems have been accessed without authorization.
8. Fees and Payment
If you enter into a paid agreement with DataQuilt, fees, payment terms, billing frequency, and any implementation or onboarding fees will be set forth in the applicable order form, agreement, or statement of work.
9. Third-Party Services
DataQuilt may integrate with third-party services, including QuickBooks Online. DataQuilt is not responsible for the operation, availability, accuracy, or security of third-party services. Your use of third-party services may also be governed by their own terms and policies.
10. Intellectual Property
DataQuilt and its software, designs, workflows, dashboards, features, documentation, and technology are owned by DataQuilt, Inc. or its licensors. These Terms do not transfer ownership of DataQuilt intellectual property to any customer or user.
11. Disclaimers
DataQuilt is provided on an “as is” and “as available” basis. DataQuilt does not guarantee that the platform will be uninterrupted, error-free, or suitable for every business purpose. DataQuilt does not provide legal, tax, accounting, or financial advice.
12. Limitation of Liability
To the maximum extent permitted by law, DataQuilt shall not be liable for indirect, incidental, consequential, special, punitive, or exemplary damages, including lost profits, lost revenue, lost data, or business interruption.
13. Termination
DataQuilt may suspend or terminate access to the platform if a user violates these Terms, misuses the platform, fails to pay amounts owed, or creates security, legal, or operational risk.
14. Changes to These Terms
DataQuilt may update these Terms from time to time. The updated version will be posted on this page with a revised “Last updated” date.
